Little Folkies Teacher Trainee Agreement
This Training Agreement ("Agreement") is made and entered into as of _____________, 2025 ("Effective Date"), by and between Little Folkies LLC, a Louisiana limited liability company ("Little Folkies"), and _________________________ ("Trainee").
RECITALS
A. Little Folkies has developed a proprietary training program, curriculum, and related materials for teaching children's music classes ("Training Program").
B. The Trainee wishes to participate in the Training Program to gain knowledge of the Little Folkies method and be evaluated for a potential future teaching or licensing role.
C. This Agreement sets forth the terms and conditions of the Trainee's participation in the Training Program.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:
1. Nature of Agreement
This Agreement governs the Trainee's participation in the Training Program. The Trainee understands and acknowledges that this is an agreement for training purposes only and does not constitute a contract of employment, an offer of employment, or a guarantee of any future business relationship with Little Folkies.
2. Confidentiality and Intellectual Property
2.1. Definition. During the Training Program, the Trainee will receive access to Little Folkies' proprietary and confidential materials, including but not limited to: all original music (audio recordings, lyrics, and sheet music), instructional videos, teacher manuals, curriculum, teaching methodologies, business practices, and marketing strategies ("Confidential Information" and "Intellectual Property").
2.2. Ownership. The Trainee acknowledges that all Confidential Information and Intellectual Property is and shall remain the sole and exclusive property of Little Folkies LLC.
2.3. Restrictions on Use. The Confidential Information and Intellectual Property shall be used by the Trainee for the sole purpose of completing the Training Program. Any use, sharing, distribution, public performance, online posting, or reproduction of this material in any context other than the official Training Program is strictly prohibited.
2.4. No Recording. The Trainee agrees not to photograph, screenshot, or create any audio or video recordings of any part of the Training Program, whether delivered online or in person.
3. Training Fee
The Trainee agrees to pay a one-time, non-refundable fee for participation in the Training Program. This fee is due in full prior to the commencement of the training. The fee is non-refundable, even if the Trainee withdraws or is dismissed from the Training Program for any reason.
4. Restrictive Covenants
To protect the legitimate business interests and proprietary nature of the Training Program, the Trainee agrees to the following:
4.1. Non-Competition. For a period of two (2) years following the completion, withdrawal, or termination from the Training Program, the Trainee shall not, directly or indirectly, own, manage, operate, or teach a participatory music program for children ages 0-5 similar to Little Folkies. Under no circumstances can the unique curriculum, song collection, and teaching methodologies of the Little Folkies Training Program be used outside of strictly Little Folkies business, classes, performances, and events. Trainees cannot teach at similar or competing programs without prior written consent from Little Folkies.
4.2. Non-Solicitation. The Trainee agrees not to solicit any other participants from the Training Program to join a competing business or venture.
5. Term and Termination
5.1. Term. This Agreement shall commence on the Effective Date and continue for the duration of the Trainee's active enrollment in the Training Program. It will continue after completion or termination of a contract. The Training Program is considered complete upon the Trainee's successful completion of all required modules and assessments.
5.2. Termination by Little Folkies. Little Folkies reserves the right to terminate this Agreement and dismiss the Trainee from the Training Program at its sole discretion, at any time and for any reason, including but not limited to the Trainee's failure to adhere to the terms of this Agreement.
6. Post-Training Obligations
6.1. Return and Deletion of Materials. Upon completion of the Training Program or termination of this Agreement, the Trainee agrees to immediately return all physical copies and permanently delete all digital copies of any Confidential Information or Intellectual Property provided by Little Folkies. This also applies to online and physical platforms and resources.
6.2. Survival. The obligations contained in Sections 2 (Confidentiality and Intellectual Property), 4 (Restrictive Covenants), and 6 (Post-Training Obligations) shall survive the termination or expiration of this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana and all federal laws.
8. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.
By signing below, the Trainee acknowledges that they have read, understood, and agree to be bound by all the terms and conditions of this Agreement.
